We are simultaneously enhancing water conservation management for raw material and equipment suppliers.
In supplier water management, we have introduced a new supplier water standards plan and initiated multiple supplier water conservation projects. These efforts strengthen water-saving initiatives among upstream suppliers and progress toward ultimately achieving 100% supplier coverage.

Regarding water management for raw material suppliers, we are collaborating with key suppliers to implement comprehensive water conservation management.
We have conducted thorough reviews and in-depth analyses of water usage across various production processes for different supplier types, while actively promoting water conservation management adoption among all suppliers. In 2024, after a comprehensive assessment of the water usage and improvement potential of key raw material suppliers, eight were selected to participate in a water-saving project.

為落實(shí)全球綠色供應(yīng)鏈合規(guī)要求,提升產(chǎn)品環(huán)保屬性與員工職業(yè)健康保障,CNGR將系統(tǒng)識(shí)別、評(píng)估并逐步淘汰產(chǎn)品生產(chǎn)過程中使用或潛在存在的受關(guān)注化學(xué)物質(zhì)(Substances of Concern, SoCs)。公司承諾在2030年前實(shí)現(xiàn)關(guān)鍵SVHC物質(zhì)的淘汰或風(fēng)險(xiǎn)可控使用。
To meet global regulatory expectations and customer demands for safe and sustainable materials, CNGR commits to identifying, assessing, and phasing out hazardous substances used in its production processes. The company aims to eliminate or strictly control the use of key SVHCs by 2030 through a structured four-phase plan.

Mr. Jiang Liangxing serves as a member of the Audit Committee of the Board of Directors and is recognized as an expert in the field of materials metallurgy. His biography is as follows:
Jiang Liangxing, born in September 1982 in Shuangfeng, Hunan Province, is a Doctor of Engineering, Professor, and Doctoral Supervisor. He is also a recipient of the Hunan Provincial Distinguished Young Scholars Fund and currently serves as Director of the Institute of Light Metals and Industrial Electrochemistry at the School of Metallurgy and Environment, Central South University. In 2005, he graduated from Central South University with a degree in Metallurgical Engineering. In the same year, he was recommended for postgraduate study without entrance examination. He entered a doctoral program ahead of schedule in 2007 and received his Doctorate in Engineering in 2011, after which he remained at the university to teach. He is a member of the International Society of Electrochemistry, a committee member of the Molten Salt Chemistry and Technology Division of the Nonferrous Metals Society of China, an editorial board member of Hydrometallurgy, and a youth editorial board member of Acta Physico-Chimica Sinica and the Journal of Central South University. His research focuses on the efficient extraction and value-added utilization of primary and secondary resources of energy metals, including the preparation and application of photo(electro)catalytic materials, energy-saving hydrometallurgical processes, resource recovery and reuse of solid wastes, and the development of key materials for energy storage and conversion.
在董事會(huì)與高管薪酬管理方面,中偉股份建立嚴(yán)格的薪酬追回與懲罰機(jī)制,規(guī)定若現(xiàn)任或離任高管及核心管理人員發(fā)生重大違規(guī)行為——包括財(cái)務(wù)造假、ESG合規(guī)失效(如隱瞞碳排放/水耗數(shù)據(jù)、重大環(huán)境安全事故)或風(fēng)險(xiǎn)管理失職導(dǎo)致嚴(yán)重社會(huì)環(huán)境影響——公司有權(quán)追回其近三年獲得的績效獎(jiǎng)金、股權(quán)激勵(lì)等薪酬;并根據(jù)違規(guī)嚴(yán)重性實(shí)施階梯式懲戒:對ESG數(shù)據(jù)造假行為最高全額追回獎(jiǎng)金并剝奪未歸屬股權(quán),對造成重大環(huán)境事故者追回薪酬且暫停1-3年激勵(lì)資格。該機(jī)制由董事會(huì)薪酬委員會(huì)獨(dú)立執(zhí)行。公司承諾在年度ESG報(bào)告中披露條款執(zhí)行案例,并將節(jié)水目標(biāo)、碳中和進(jìn)程等ESG指標(biāo)納入高管獎(jiǎng)金考核。
With respect to the management of board and executive remuneration, CNGR has established a stringent compensation recovery and penalty mechanism. It stipulates that in cases of material misconduct by current or former executives and key management personnel—including financial fraud, ESG compliance breaches (e.g., concealment of carbon emissions/water usage data, major environmental/safety incidents), or risk management failures resulting in severe socio-environmental impacts—the company retains the right to recover performance-based bonuses, equity incentives, and other compensation awarded within the preceding three years. Tiered penalties are enforced based on violation severity:
For ESG data falsification: Up to 100% bonus recovery and forfeiture of unvested equity awards;
For causing major environmental incidents: Compensation recovery and 1-3 year suspension from incentive programs.
This mechanism is independently administered by the Board Compensation Committee. The company commits to disclosing enforcement cases in annual ESG reports and incorporating ESG metrics—such as water conservation targets and carbon neutrality progress—into executive bonus assessments."
